Rockview Management Group Inc. (“Rockview,” “we,” “us,” or “our”) operates the NY NOW Show and related websites, platforms, and services (collectively, the “Site” and “Services”).

By accessing or using the Site, you agree to be bound by these Terms of Use (“Terms”). If you do not agree, you should not use the Site.

5. User Conduct

You agree not to:

  • Use automated systems (bots, scraping tools) without permission
  • Misrepresent your identity or affiliation

6. User Submissions

Any information, content, or materials you submit (“Submissions”):

  • Will be considered non-confidential and non-proprietary
  • Must not violate any law or third-party rights

By submitting content, you grant Rockview a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, distribute, and display such content in connection with NY NOW and related business activities.

7. Unsolicited Ideas

Rockview does not accept unsolicited ideas (e.g., concepts for events, products, marketing campaigns).

If you submit such ideas:

  • They will not be treated as confidential
  • Rockview may use them without compensation or obligation

8. Third-Party Links

The Site may contain links to third-party websites. These are provided for convenience only.

Rockview:

  • Does not control or endorse third-party sites
  • Is not responsible for their content, policies, or practices

9. Downloads and Technical Risks

We do not guarantee that files available for download will be free of viruses or harmful code. You are responsible for implementing appropriate safeguards.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SITE, SERVICES, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ROCKVIEW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

We do not guarantee:

  • Uninterrupted or error-free operation
  • Accuracy or completeness of content

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

ROCKVIEW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM:

  • Use or inability to use the Site
  • Transactions conducted through the Site
  • Errors or omissions in content
  • Unauthorized access to data

YOUR SOLE REMEDY IS TO DISCONTINUE USE OF THE SITE.

IN NO EVENT SHALL ROCKVIEW’S TOTAL LIABILITY EXCEED $100 USD, OR THE MINIMUM AMOUNT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify and hold harmless Rockview, its affiliates, partners, officers, employees, and agents from any claims, damages, losses, or expenses (including attorneys’ fees) arising from:

  • Your use of the Site
  • Your violation of these Terms
  • Your infringement of any third-party rights

13. Privacy

Your use of the Site is also governed by our Privacy Policy.

14. Event-Specific Terms

Additional terms may apply to:

  • Event registration
  • Exhibitor participation
  • Sponsorship agreements

Those terms will supplement and, where applicable, override these Terms.

15. Termination

We reserve the right to:

  • Suspend or terminate access to the Site
  • Remove content
  • Restrict services

at our sole discretion, without prior notice, for violations of these Terms.

16. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in New York.

17. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement regarding use of the Site
  • Severability: If any provision is invalid, the remaining provisions remain in effect
  • No Waiver: Failure to enforce any provision does not waive our rights
